Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Modern Technical Solutions ("we," "us," or "our") governing your use of the TradeTool application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
2. The Service
TradeTool is a field-service management tool that helps trade businesses manage work orders, scheduling, customers, inventory, invoicing, payments, fleet, and team operations, including AI-assisted voice job input. We may update, add, or remove features over time.
3. Accounts
You are responsible for the information you provide, for maintaining the confidentiality of your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use. Business owners and managers may invite team members and control their access and roles.
4. Plans, fees, and payments
The Service is offered under subscription plans (including a free tier). Paid plans, where offered, are billed through our payment processor, Stripe. You authorize us and Stripe to charge the payment method you provide for applicable fees. Fees are non-refundable except where required by law. We may change plans or pricing on reasonable notice; continued use after a change means you accept it. Any card payments you collect from your own customers through the Service are processed by Stripe and are subject to Stripe's terms.
5. Your data and content
You retain ownership of the data and content you and your business submit ("Your Content"), including customer records, jobs, photos, and invoices. You grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Service for you. You are responsible for Your Content and for having the necessary rights and consents to submit information about your customers and to contact them. Our handling of personal information is described in our Privacy Policy.
6. AI features
TradeTool uses AI to transcribe voice input and to convert job descriptions into structured work orders. AI output may be inaccurate or incomplete. You are responsible for reviewing and confirming AI-generated content before relying on it.
7. Acceptable use
You agree not to: use the Service for any unlawful purpose; upload content you don't have the right to use; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; use it to send spam or infringe others' rights; or exceed the limits of your plan through automated or abusive means.
8. Third-party services
The Service relies on third parties (including Supabase, Stripe, OpenAI, Anthropic, Apple, and Google). Your use of those features may be subject to the third party's terms, and we are not responsible for third-party services.
9. Intellectual property
The Service, including its software, design, logos, and content (excluding Your Content), is owned by Modern Technical Solutions and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODERN TECHNICAL SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends; certain provisions (including ownership, disclaimers, and limitation of liability) survive. Data deletion is handled as described in our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Georgia for any dispute, except where prohibited by law.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, notify you in the app. Continued use after changes means you accept the updated Terms.
